Check your /etc/ configuration files very closely.  I did a CentOS 3 
upgrade and had my nameserver config eaten (my fault, I had the cacheing 
nameserver RPM loaded) and my Samba configuration eaten (this one I have 
no explanation for).   My CentOS 4 upgrades have been flawless.
