embarrassing, but it turned out to be a bad nic. I found a full os install cd and did a complete OS install. the nic would not come alive. I popped the drive out of that box along with the ram and put it into another box just like it and everything started working. sorry for the wild goose chase

Also, check the installer logs via ALT-F3 and/or ALT-F4 for any other clues.
