rtorrent + rutorrent + lightttpd is about as lean as they come for a seedbox, should work great in 256mb of ram, I have one running in under 100mb on a VPS

I'm using "transmission-daemon" over IPv4 and IPv6, it's currently got over 400 TCP connections open, with a ratio of over 1000 for both CentOS-5.5-x86_64-bin-DVD and CentOS-5.5-i386-bin-DVD.
