[CentOS] Centos 5.5 - Kernel Panic while booting.

Tru, you nailed it right. I will load Ubuntu and Debian and will report back, this may be a bug in the loading process. I did install this system with Centos by itself and it load ok, but the virtual machine its not loading and it just keep crashing with the same error as the bug you provided/posted. Maybe someone can shine some light on this. Thank you.
