Do you have any of these lines in either the /etc/yum.conf OR
/etc/yum.repos.d/upd.conf?

Or are you using yum priorities?

preupgrade-assistant-1.0.2-36.0.1.el6.centos.x86_64.rpm   <== this
exists in the repo
