Does anyone have ufs driver modules for centOS 4.1 kernel 2.6.9-11.EL? I need this modules but don't want to border for recompile my kernel to get just ufs support. Can anyone point me where could I download this modules?

I believe the 'centosplus' kernels have ufs support - see http://mirror.centos.org/centos/4.1/centosplus (or any other mirror)

I'll try to get the kernel, but before that, did I need to aware of something before I'll do upgrade? or can I just upgrade it?

You should be able to install it without removing the existing kernel - and select which you want to use at boot time.
You shouldn't need to do anything special before installing.
