If you have any problems with updating yum, get right yum package from:
http://isoredirect.centos.org/centos/4/os/x86_64/CentOS/RPMS/yum-2.4.3-1.noa...
and install manually (rpm -i <name of package> )
if you will have any problems get me sudo access to your box for yum and I will do it.

Greatly appreciate your kind offer and assistance. My "yum update yum" did the trick.
When I look at the long list of unresolved dependencies, I get apprehensive (not about the php, though it is widely used by me), but about some that touch on what appear to be core items.

You haven't by any chance added another repo to your yum, have you? That could cause some issues with some of the repos.

Those are not NEW files
it seems you are not pointing to a valid (at least not updated) centos mirror.
I suggest you check your /etc/yum.repos.d/CentOS-Base.repo file (or whatever you are using for updates).
The current gcc is 3.4.6-2, and httpd is 2.0.52-28
the versions you are using lead me to believe that you are pointing to the 4.3 tree and not 4 in your yum repo file.
